Penfund Announces US$150 Million Investment in Caliber Collision Centers

TORONTO, Feb. 14, 2019 (GLOBE NEWSWIRE) -- Penfund, an independent provider of junior capital to North American middle market companies, announced today the completion of a US$150 million second lien debt investment in Caliber Collision Centers (“Caliber” or the “Company”) as part of a small club of lenders providing a US$600 million second lien credit facility.

The proceeds of this facility, together with the proceeds of a US$1.85 billion first lien term loan and US$300 million revolving credit facility, have been used to finance Caliber’s merger with ABRA Auto Body Repair of America (“ABRA”). ABRA is a portfolio company of Hellman & Friedman (“H&F”) and H&F is the new controlling shareholder following the merger.

The combined company is the largest automotive collision repair chain in the United States with over 1,000 locations and a national footprint. Both companies have similar operating philosophies and deliver industry leading performance to insurance carrier partners. The combination is expected to create new opportunities for value creation for all stakeholders.

Jeremy Thompson, a partner of Penfund, stated “Penfund is excited to support the merger of these two best-in-class businesses and looks forward to continuing its long relationship with the Caliber team.” Mr. Thompson noted that Penfund has now provided financing to Caliber on four separate occasions and, following this transaction, has invested over US$300 million in the Company over the years.

Service King Collision Repair is a national automotive collision repair company. It was founded in 1976 by Eddie Lennox in Dallas, Texas. Service King is one of largest providers of collision repair services in Texas and the United States.

Service King was founded by Eddie Lenox in 1976. Its first location was in Dallas.[1]

In 2009, the then-independently owned Service King bought the three-location D&D Collision chain in the Houston area.[2]

In 2012, The Carlyle Group purchased a majority stake in Service King.[3] Around that time, it expanded into Arizona.[4] Global investment and advisory group Blackstone purchased majority ownership in Service King in July 2014.[5] Service King eclipsed the 200-location milestone by December 2014 by purchasing Seattle-headquartered Kirmac Collision Services to expand its footprint in the Pacific northwest.[6] Service King hit the 300-location mark in August 2016; it also opened a 70,000 square foot center in Milpitas, California around that time.[7] In 2017, Blackstone and Carlyle looked at selling Service King for up to $2 billion (US).[8] Service King opened a new corporate office located in Richardson, Texas in early 2017.[9]

Lewisville-based Caliber is changing up the executive leadership team that propelled it into a $4 billion-a-year behemoth as the nation’s largest auto collision repair company.

Mark Sanders will become chief executive officer Jan. 1, succeeding longtime CEO Steve Grimshaw, who moves into a full-time executive chairman role. Grimshaw was hired in 2009 partly to help Caliber expand.

The company said Sanders, who joined Caliber in 1997, led its growth strategy as president and chief operating officer. The business now includes Caliber Auto Care (formerly Service First Automotive), Caliber Auto Glass and Caliber Collision.

Dave Goldstein, the company’s chief talent officer, will replace Sanders as chief operating officer.

Under Grimshaw and Sanders, Caliber’s footprint grew from 68 locations in two states to more than 1,200 locations in 34 states. Its annual revenue soared from $284 million to $4 billion.

“I started my career in the collision industry 33 years ago as a shop helper,” Sanders said in a statement. “I have been fortunate to work alongside many great mentors and leaders such as my father Joe Sanders and Steve Grimshaw.”

Sanders said he learned the auto repair business by working “in nearly every position in the back and the front of a shop, so I have a unique perspective as I have been in our teammates’ shoes.” The company has 21,000 employees.

Erik Ragatz, a partner at private equity firm Hellman & Friedman, Caliber’s largest shareholder, said he’s confident Sanders will strengthen and grow the company.

“Caliber is an outstanding business with a long runway for growth,” he said in a statement.

Sanders’ successor also is a collision repair industry veteran.

Goldstein began his career as a technician, joining Caliber in 1997 when it bought the Dallas company where he was working. He later became its regional leader in Dallas-Fort Worth before moving to California to oversee Caliber’s expansion from 36 locations to over 175. He took over as chief talent officer in 2017.

Caliber relocated from California to North Texas in 2011. Last year, it acquired the family-owned Herb’s Paint & Body shops, giving it 51 locations in Dallas-Fort Worth. Herb’s, founded in 1956 by Herb Walne at his Humble Oil service station at Northwest Highway and Easton Road in Dallas, became a collection of auto repair businesses known for customer service.

Caliber Collision and Abra Auto Body Repair of America today announced a definitive merger agreement that brings together the companies’ teams, brands and operations to better serve their customers and insurance clients with the “highest-quality repairs and a seamless customer experience,” Caliber states. Post-integration, the combined company will operate under the Caliber brand. The transaction is expected to close in early 2019. Terms of the transaction were not disclosed.

The merger brings together two complementary leaders in the $47-billion-a-year collision repair industry and puts the combined company in a better position to make investments that benefit customers and teammates, which include enhanced technologies, high-level customer experience and expanded best operational practices.

“This combination will allow us to offer even greater satisfaction for our valued customers and insurance clients while creating new opportunities for the talented teammates of both companies,” said Steve Grimshaw, CEO of Caliber. “With more than 1,000 stores in 37 states and the District of Columbia, we look forward to providing customers and insurance clients with the flexibility and convenience that come with the broadest geographic coverage in the United States and a full suite of services. We’re confident the technological and operational investments will create unparalleled customer service, enhanced repair quality and industry-leading metrics, all of which advance our purpose of restoring the rhythm of our customers’ lives.”

The combined company will offer customers and clients a single solution with more offerings, including dedicated Non-Drive, Express and Aluminum-certified and high-line repair centers. Caliber states that customers will also benefit from increased choice, as substantial opportunities exist to expand the companies’ offerings such as glass, mechanical, diagnostic scanning and calibration services, and the broadest network of OEM-certified locations in the U.S.

As part of this transaction, private equity firm Hellman & Freidman LLC – Abra’s majority shareholder since 2014 – will become the majority shareholder of the combined company. Both OMERS and Leonard Green & Partners, L.P. (LGP) will remain significant minority shareholders in the combined company. OMERS currently owns a majority stake in Caliber, and LGP owns a minority stake.

"If you are looking for a one stop shop service center please visit this location. They offer everything your car could need, even tire rotation! I was greeted immediately once I walked in and the workers have too notch costumer service they walked me through everything and they didn't try to push me into things I didn't need. This location is super clean and they offer water, starbucks and a comfy lounge for their clients. At the end of my service I received a text message with a link that showed a detailed inspection with pictures of what they inspected and did with my car. I have never left my car in better hands. I will be recommending this place to everyone I know. Also shout out to Jason for being so wonderful and helpful."

Gets your phone number and sends you pictures and status updates via text while you're in the nice waiting area. Green color code means no service needed and red means you either need it or should really consider getting it serviced. (Certain parts of the car) You text back whether you want any additional work done or not. Free bottled water, coffee and tea. Nice clean bathrooms, comfy chairs and big tv.
